Website Terms and Conditions
These Terms and Conditions ("Terms") explain how you may use the website operated by Thread Surrogacy LLC ("Thread," "we," "us," or "our"). They cover our public pages and the application forms, scheduling tools, and personalized pages we operate that link to these Terms (together, the "Website").
These Terms govern Website use. Participation in a surrogacy journey, agency services, compensation, benefits, and professional services are addressed in separate written agreements. Accepting these Terms does not commit you to a surrogacy journey.
1. Using the Website
The Website is intended for adults age 18 and older who can legally enter into an agreement. Being eligible to use the Website does not mean you meet the requirements to become a surrogate or participate in a particular program.
Please read these Terms before using the Website. When you select a checkbox or take another action clearly identified as accepting these Terms, you agree to them. If you do not agree, do not submit an application or use a feature that requires acceptance. If you act for another person, you must have authority to do so and may not provide consent that the law requires that person to give personally.
2. Our role and professional advice
Thread provides non-medical surrogacy coordination, including intake, matching, screening coordination, scheduling, and journey support. Thread is not a medical provider, law firm, insurer, or escrow provider. Independent professionals are responsible for their own evaluations, advice, services, and decisions.
Website information is general information, not medical, legal, tax, or insurance advice for your circumstances. Consult the appropriate qualified professional before making decisions. Medical decisions remain with the person receiving care in consultation with their medical team. Do not delay medical care because of Website information. The Website and its messaging features are not emergency services.
3. Inquiries and applications
An inquiry, questionnaire, application, appointment, or preliminary eligibility result is a first step. It does not establish acceptance into a program, medical clearance, a match, an agency representation agreement, or an entitlement to compensation. Submitting an application does not itself require a payment or commit you to proceed.
Next steps depend on information review, applicable requirements, professional assessments, program availability, and mutual decisions. We may request additional information, pause review, or decline an application, consistent with applicable law. You may contact our team to ask questions or request staff review of an intake outcome.
Surrogacy involves uncertainties. We cannot guarantee a particular match, timeline, treatment result, pregnancy, birth, or legal outcome. Any express commitments in your signed agreements remain in effect.
4. Compensation benefits and fees
Public descriptions, ranges, estimates, and illustrative examples explain how our programs work. They are not an individual offer or a guarantee of the amount you will receive or pay. Eligibility, timing, limits, covered expenses, and other conditions may affect a particular journey.
A personalized benefits page or proposed plan is provided for your review. Viewing it or discussing it does not by itself create a binding agreement or authorize a charge. Final compensation, benefits, agency fees, reimbursements, payment responsibilities, and payment schedules are documented in the applicable signed agreements. A plan expressly incorporated into a signed agreement forms part of that agreement.
Your written agreements also address what happens if plans change, including delays, an unsuccessful transfer, a loss, rematching, or cancellation. Independent providers may charge separately under their own terms. Ask us to explain any difference between a Website description and your proposed agreement before you commit. Updating a Website page does not change an existing signed agreement or reduce benefits already owed under it.
5. Information and materials you provide
Provide information that is accurate and complete to the best of your knowledge, and let us know if relevant details change. Submit another person's information only when you have the necessary authority and permission. Do not submit false records or impersonate anyone.
You retain any ownership rights you have in materials you submit. You allow Thread and its service providers to receive, store, reproduce, and use those materials only as needed to handle your request, provide authorized services, and meet lawful obligations, subject to our privacy policies and any required consent. This permission does not replace a medical-record release or authorize public use of your name, photograph, video, story, or testimonial. Public use requires separate permission.
6. Privacy and health information
Our Website Privacy Policy and Consumer Health Data Privacy Policy explain how we handle personal information and how to exercise privacy choices. The more protective provision applies if those policies conflict about consumer health data. These Terms do not reduce the protections in those policies.
Accepting these Terms does not provide consent to collect or share health data where separate consent is required, authorize the release of medical records, or enroll you in marketing. We obtain required consents and authorizations separately. Please use the document-submission method we provide for sensitive records and avoid including unnecessary sensitive information in ordinary email or text messages.
7. Communications and text messages
We may respond to inquiries and send application, appointment, and service updates consistent with your contact preferences and applicable consent requirements. Any required consent for marketing calls or texts is requested separately and is not a condition of receiving services.
If you choose to receive text messages, message frequency varies and message and data rates may apply. Reply STOP to opt out, reply HELP for assistance, or contact us using the details below. You may revoke consent by another reasonable method. We honor opt-outs as required by law and may send a non-promotional confirmation. Delivery can be delayed or fail, so do not rely on text messages for urgent medical matters. You may unsubscribe from marketing emails using the link provided; necessary non-marketing emails may continue.
8. Private pages and access
Keep passwords and private access links secure, and tell us promptly if you believe someone has accessed them without permission. You may share your own plan with trusted advisers or support people, but do not give others access to another participant's private information. A private link may allow anyone who has it to view its contents.
Access only the information and features you are authorized to use. We may limit or suspend access to protect participants, investigate suspected misuse, address a security concern, or comply with law. A restriction on Website access does not by itself cancel a separate agreement, extinguish an accrued payment obligation, or prevent you from exercising privacy or other legal rights.
9. Permitted use and Website content
You may use the Website for lawful personal purposes and save or print materials for your own consideration of Thread's services. Thread or its licensors own the Website design, branding, text, and other content, except for materials owned by users or third parties. Other reproduction, distribution, or commercial use requires permission unless allowed by law.
Do not disrupt the Website, bypass access controls, introduce malicious software, impersonate Thread or another person, harvest personal information, or use automated tools to collect private content. Do not use the Website to threaten, harass, defraud, or violate another person's rights. These restrictions do not prevent lawful reviews, protected speech, reports to regulators, or other activity protected by law.
10. Third party websites and services
Links, referrals, or integrations may connect you with independent clinics, attorneys, insurers, escrow providers, or other organizations. Their services and their handling of information are governed by their own agreements and policies. A link or referral does not make Thread responsible for their independent professional decisions or guarantee their services. Thread remains responsible for its own commitments and legal obligations.
11. Availability and responsibility
We work to keep Website information accurate and useful, but it may contain errors or become outdated. We may correct content, change features, or interrupt access for maintenance, security, or other operational reasons. We do not promise uninterrupted or error-free access. To the extent permitted by law, the Website is provided "as is" and "as available," without implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the extent permitted by law, Thread is not liable for indirect, incidental, special, consequential, or punitive damages arising solely from your use of, or inability to use, the Website. This limitation concerns the Website and does not limit rights or remedies under a separate signed agreement.
Nothing in these Terms excludes or limits liability for fraud, gross negligence, willful misconduct, violations of law, or any other liability that cannot lawfully be excluded or limited. These Terms do not waive privacy rights, excuse misleading statements, or eliminate obligations to pay compensation, benefits, or reimbursements owed under an agreement. Where a warranty exclusion or liability limitation is not allowed, it does not apply.
12. Governing law and resolving concerns
California law governs these Terms, without applying conflict-of-law rules that would select another jurisdiction's law. Mandatory protections available under the laws that apply to you remain in effect. This choice of law concerns Website use and does not determine which law governs a surrogacy arrangement or another separate agreement.
Please contact us if you have a concern so we can try to resolve it. Contacting us first is not required before exercising a legal right or reporting a concern to a regulator. These Terms do not require arbitration, waive the right to participate in a class action, or shorten a legal filing deadline.
13. Changes and separate agreements
We may update these Terms and will post the revised version and its effective date on the Website. For material changes, we will provide a prominent notice or direct notice as appropriate and obtain renewed acceptance where required. Changes apply prospectively after they take effect and are accepted where required; they do not retroactively change accrued rights or existing disputes.
These Terms address Website use only. A separate signed agreement controls any conflict concerning the services or obligations covered by that agreement. Website revisions cannot amend that agreement. If a provision of these Terms is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A delay in enforcing a provision does not waive the right to enforce it later.
